Terms for using ruxii.ca

Section 01
Scope
These Terms apply to our public-facing website at ruxii.ca (the “Site”). They do not apply to our products, portals, or applications that require an account or separate agreement. Those services will have their own terms and privacy documentation when launched.
Section 02
Acceptance & Changes
By using the Site, you confirm you are able to form a binding contract in your jurisdiction. We may update these Terms at any time by posting a revised version with a new “Last Updated” date. Your continued use of the Site after changes take effect constitutes acceptance.
Section 03
Permitted & Prohibited Uses
You may use the Site only for lawful purposes. You agree not to:
- Violate any applicable laws or regulations.
- Probe, scan, or test the vulnerability of the Site or related systems without authorization.
- Interfere with or disrupt the Site (for example, via DDoS, malware, or abusive scraping).
- Upload or transmit harmful, infringing, fraudulent, or defamatory content.
- Misrepresent your identity or affiliation, or impersonate any person or entity.
- Use automated means to access or copy Site content except as permitted by law or our written consent.
Section 04
Submissions & Feedback
If you submit inquiries, comments, ideas, or other content via forms or email (“Submissions”), you represent you have the right to share them and that they contain no confidential or third-party proprietary information. You grant Ruxii a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, and display Submissions for the purpose of operating, improving, and communicating about the Site and our business.

Intellectual Property
The Site and its content (text, graphics, logos, layouts, software) are owned by Ruxii or its licensors and are protected by Canadian and international intellectual property laws. Subject to these Terms, Ruxii grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal or internal business purposes. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent.

Copyright & Trademarks
Content, software, designs, documentation, and branding associated with Ruxii Technologies Inc., including Ruxii™ and Nova™, are protected under applicable copyright and trademark laws. Product-mark details are maintained in our Legal Notices. Other names or logos referenced on the Site are the property of their respective owners.

Privacy & Cookies
Your use of the Site is subject to our Privacy Policy. We use necessary cookies and, with your consent, may use functional and analytics cookies. You can manage preferences at /cookie-settings.

Disclaimers
The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including (without limitation) warranties of title, non-infringement, merchantability, fitness for a particular purpose, or accuracy. We do not guarantee uninterrupted or error-free operation, or that the Site will be secure or free of viruses. Site content is for general information only and does not constitute professional advice.
Section 09
Limitation of Liability
To the fullest extent permitted by law, Ruxii and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Site. In no event will Ruxii’s aggregate liability to you for all claims relating to the Site exceed CAD $100.

Indemnification
You agree to defend, indemnify, and hold harmless Ruxii and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your misuse of the Site.

Termination & Suspension
We may modify, suspend, or discontinue the Site (in whole or in part) at any time without notice. We may also suspend or restrict your access if we believe you have violated these Terms or applicable law.

International Use & Compliance
The Site is controlled and operated from Canada. You are responsible for complying with local laws where you access the Site, and you must not access or use the Site in any jurisdiction where doing so would be unlawful.
Section 13
Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the courts located in Alberta for any disputes arising out of or relating to these Terms or the Site.
